Please be advised that as of August 8, 2024 we have updated our standard DistillerSR Subscription Terms to a new version 3.5, which are available for review. For any Customer and Users subject to the previous version of these terms, this announcement provides advanced notice of these changes effective September 7, 2024.
The changes in this new version 3.5 of the DistillerSR Subscription Terms are to address customer requests for changes as well as general internal updates and clarification. We have included a list of material changes below along with a brief description to assist your review of the updated terms:
Changes:
- Section 4.3 -Overdue Payments
- Language simplifies and clarifies that late charges will be limited to legislative restrictions and will not be automatically applied.
- Section 11.2 – Termination for Convenience
- Provision removed to align with SaaS industry standards and internal policy.
- Termination for cause is still available to all customers
- Section 12.12 – Audit Rights
- New provision
The above changes have also been added to our standard Terms of Service (available for review). PLEASE NOTE the Terms of Service are only applicable to Customers and Users that are NOT subject to any of the following:
- A Proposal with DistillerSR Subscription Terms
- An executed MSA or
- An equivalent negotiated contract.
